Reported SEC Transactions

Latest Insider Trading Activity

Browse reported insider ownership activity through a provider feed. Check each row’s form type: a Form 3 reports initial ownership, whereas a Form 4 reports changes. Compare transaction and filing dates, inspect transaction codes, and export the current page. This is not a real-time or exhaustive record of all US insider activity.

Read the disclosure before interpreting the trade

This table presents reported insider transactions supplied by Financial Modeling Prep. It does not identify illegal trading or provide a recommendation. The same filing can contain several rows, different security classes and amendments; row counts are not counts of unique insiders or distinct filings. The feed can also include Form 3 initial ownership reports. Check the form type before treating a row as a transaction.

Compare the transaction code and ownership change

P and S include open-market or private purchases and sales. Other codes identify awards, derivative exercises, gifts or securities used for tax liabilities. Acquisition and disposition describe ownership changes, not necessarily cash buying or selling. Check the security name and original filing before combining rows.

A sale can reflect liquidity or diversification rather than a negative company outlook. A purchase does not prove future returns. Review any trading-plan disclosures, footnotes, amendments and indirect ownership in the original filing; this summary does not reproduce all of them.

Follow these checks in the table

  1. Read the transaction date separately from the filing date. Most Form 4 changes are due within two business days, but exceptions and late filings exist.
  2. Open View to inspect the SEC filing where a valid link is available. Missing values remain unavailable; a reported zero price may represent a non-cash transfer, not a zero market price.
  3. Sort only the current page of up to 50 rows. Next loads another provider page. No complete feed count is supplied, and new filings can move records between requests.
  4. Export Current Page CSV saves those loaded rows in their current sort order. Check amendments and duplicates before merging exports or constructing a research dataset.

Data timing and coverage

Retrieval time records when this browser received a response. It does not establish when the provider processed a filing. The server may cache a response for five minutes, and Refresh does not bypass that cache. No timer polls the page automatically. The feed is not exhaustive coverage of every US company or every reportable transaction.

Use the stock quote tool for a separate price snapshot. The transaction price in a filing is historical and may relate to a different security or transaction structure. This page does not backtest insider signals or execute orders.

Frequently Asked Questions

What does this feed contain?

Provider-supplied reported insider transactions. Covered persons generally include officers, directors and beneficial owners of more than 10% of a registered equity class. A filing is a disclosure, not evidence that a transaction involved unlawful use of inside information.

Is this a real-time or complete feed?

No. This page requests up to 50 records at a time from FMP on load, page changes and Refresh. The backend may reuse a cached response for five minutes. Filing delays, provider processing and coverage limits apply. Retrieved time is not transaction time.

What do P, S, A, M, F and G mean?

P and S can cover open-market or private purchases and sales. Transaction code A covers grants, awards or other company acquisitions; M covers derivative exercise or conversion; F can represent securities used for an exercise price or tax liability; G denotes a gift. Read the filing and footnotes for context.

Does A/D mean a cash purchase or sale?

No. The separate acquisition/disposition field describes whether securities were acquired or disposed of. An acquisition can be an award or gift; a disposition can cover taxes or transfers. Do not treat every A as buying conviction or every D as bearish selling.

When must transactions be reported?

Most reportable changes are due on Form 4 within two business days. Exceptions, late reports and amendments exist. Transaction date and filing date can differ; the provider feed is not a guarantee of timely or complete disclosure.

What can I export and sort?

Export Current Page CSV saves only the loaded page in its current sort order, not the whole feed. Sorting is also local to those rows. Next requests another page; the provider does not supply a total record count. The viewer does not require a paid subscription.

Review the Filing Before Forming a View

Pineify Finance Agent can help organize company research. Check primary filings and supporting data separately; a disclosed transaction does not predict a breakout or establish a profitable trade.
