What is Insider Trading Activity?
Reporting insiders include certain officers, directors and significant beneficial owners. Public ownership filings record transactions in company securities, including awards and derivatives. A reported transaction is not, by itself, evidence of illegal trading or use of non-public information.
This tracker reads provider-normalized filing rows from Financial Modeling Prep. It does not read every SEC filing directly or produce a return forecast. Form 4 is generally due within two business days of a transaction; compare the transaction and filing dates before interpreting the timing.
Why Track Insider Trades?
Read Filing Context
Read the original filing to understand the reporting person, security and ownership relationship. A transaction label alone does not explain the person’s motivation.
Compare Sample Rows
Compare priced P and S rows by transaction date within the returned sample. Unequal date coverage prevents treating these bars as a complete market time series.
Analyze Transaction Size
Reported quantity multiplied by price gives an approximate transaction value. Read the footnotes for weighted-average prices, non-cash consideration or derivative details.
Applied Sample Filters
Symbol and transaction type affect the provider request. Name and minimum value narrow only the returned sample. Apply Filters commits the selection; Reset All reloads the default sample.
CSV Export
Export every row in the loaded, filtered sample, including rows outside the visible table page. This is not a download of the provider’s complete filing archive.
Original Filing Links
Open the available SEC archive link and read the source document. Provider fields can be missing or normalized; this tool does not certify a filing’s accuracy or legal compliance.
How to Use This Insider Flow Tracker
- 1
Browse Latest Trades
The initial request loads up to 100 rows from the first provider page. Table pagination and sorting operate within that sample, not the full upstream archive.
- 2
Filter by Symbol or Insider
Enter one symbol for a provider search. A name fragment filters the resulting rows locally; a missing name match does not prove the person has no filings.
- 3
Set a Value Threshold
Use the minimum value control to reduce the displayed sample. Rows with unknown value cannot meet a numeric threshold. A large value is not a profitability score.
- 4
Analyze the Trend Chart
The chart includes only P/A purchase and S/D sale rows with valid numeric values. Other transaction types and missing amounts are excluded, rather than treated as sales or zero.
Understanding Insider Transaction Types
Transaction code and acquisition/disposition are separate fields. Common codes describe different economic events; consult the SEC instructions and the filing’s footnotes.
- P – Purchase: Purchase in an open-market or private transaction; it is not limited to an exchange trade and does not establish future returns.
- S – Sale: Sale in an open-market or private transaction. The filing and any trading-plan information provide context that the code alone cannot supply.
- M – Exercise/Conversion: Exercise or conversion of a derivative security under the applicable exemption. It is not counted as a purchase in this chart.
- A – Award: A grant, award or other acquisition from the company. The transaction code A is different from the separate acquisition-direction flag A.
- F – Tax Withholding: Payment of an exercise price or tax liability using securities. It need not be an open-market sale and is excluded from P/S totals.
Before comparing records, check for amendments, multiple reporters of the same economic transaction, planned trades and different security classes. This page does not deduplicate those events or determine whether an insider’s trade is informative.
