Insider buying screener: verify the purchase and the disclosure time

An insider buying screener finds reported purchases by company insiders and turns them into a research shortlist. Start with public SEC Form 4 records, check the transaction code, security, ownership and footnotes, then apply a dated purchase-value rule. Code P includes private purchases as well as open-market purchases; it is not enough to establish an open-market trade. Use the time the filing became available to your workflow when reviewing TradingView charts. The earlier transaction date cannot serve as a public signal.

Read the transaction before counting the dollars

The SEC Form 4 instructions distinguish transaction codes from acquisition/disposition and ownership flags. Table I covers non-derivative securities; Table II covers derivatives. This workflow screens U.S. common-stock purchases in Table I. Keep option exercises, grants and derivative purchases outside that total even when they increase reported share ownership.

  • The current Form 4 has a Rule 10b5-1 checkbox and asks for the plan adoption date in the explanation. Match the indication to the relevant rows. A plan purchase remains a purchase, but a plan adopted earlier is different context from a purchase decision made on the trade date.
  • An unchecked box does not prove motive, legality or possession of information. Record "no plan indicated in reviewed filing" rather than claiming a trade is certainly discretionary.
  • The Form 4 general deadline is before the end of the second business day following execution, subject to the referenced execution-date rules. That is a filing obligation, not a promise that your provider supplies a usable record within two days. Late filings and ingestion delays still occur.

Transaction PPurchase on the open market or privately; either security table can use P.Check Table I, common-stock class and footnotes before calling it an open-market purchase.
Transaction AGrant, award or another acquisition under Rule 16b-3(d).Exclude from the purchase total; do not assign a market-price cash outlay to a grant.
Transaction MExercise or conversion exempt under Rule 16b-3.Exclude from purchase spending; an exercise can create both derivative and underlying-share entries.
Transaction FSecurities delivered or withheld for exercise cost or tax liability.Keep separate from voluntary market purchases or sales.
Acquired/disposed A or DWhether the row adds or removes securities.Require acquired A for this screen. This A does not mean transaction code A.
Ownership D or IDirect or indirect beneficial ownership.Retain the ownership vehicle and footnotes. These flags are not transaction codes.

Define one auditable screen

Use this illustrative rule for research: at decision time T, retain an issuer with at least USD 100,000 of unique qualifying purchases first disclosed during the preceding 30 × 24 hours. Require a positive share quantity and USD price, Table I common stock, transaction P, acquired A, documented open-market context and no indicated 10b5-1 plan in the reviewed filing. Keep plan purchases and private purchases in separate lists. These thresholds are assumptions, not a tested investment strategy or a native one-click filter.

  • Require first public disclosure time > T minus 30 days and ≤ T, plus actual receipt of the necessary evidence by T. Save the SEC accession, filing URL, issuer and reporting-person CIKs, transaction date, row identifier, security class and source version.
  • Record SEC acceptance time with its time zone, the time you verified public availability, provider receipt time and your review time. Use the latest required availability time for the decision. A filingDate string without a verified time zone and time is insufficient for intraday alignment.
  • For multiple rows, eligible purchase value = sum of shares transacted × price per share for unique qualifying trades. Group only the same issuer and compatible security class. Do not multiply securitiesOwned, which is the post-transaction holding.
  • Read a weighted-average-price footnote and any execution range. Shares × a rounded average is an approximate gross value, excluding costs; near a threshold, obtain enough detail or mark the decision unresolved. Missing price stays unknown, not zero.
  • Count distinct economic buyers separately from dollar value. A person and a controlled trust reporting the same trade do not establish two independent decisions. Different CIKs alone do not resolve shared beneficial ownership.

Reproduce the candidate table

All issuers, people and observations below are invented. T is October 16, 2026 at 17:30 America/New_York (21:30 UTC). Except where stated, the rows are unique Table I common-stock acquisitions, the reviewed filings document open-market purchases with no plan indicated, and acceptance, public availability and receipt are all inside the 30-day window. Quantity and price are exact hypothetical inputs in shares and USD per share. Each issuer has only the listed trades.

  • The candidates known at T are A, G and H. E and I require later evidence; B, C, D and F fail this particular cohort rule. None is a live ticker or recommendation.
  • For A, total purchased shares are 6,000 and the combined average price is 124,000 / 6,000 = USD 20.6667. If the same direct account held 30,000 shares immediately before these purchases and had no other changes, holdings become 36,000: a 20% increase. That percentage is not 6,000 / 36,000.
  • A value of USD 99,999.99 fails even if the display rounds to USD 100,000. A disclosure exactly 30 days before T fails the strict lower time boundary; one exactly at T passes the time test only if all required evidence is already received.

Apply amendments without rewriting history

Form 4/A can add missing transactions, correct existing lines or explain another amendment. The SEC instructions say to provide the added or amended lines without repeating unaffected lines. Do not append every amendment as another purchase, and do not replace an entire original filing with a partial amendment. Link each changed line to its original and read the explanation.

  • Suppose H's correction becomes public on October 19 at 10:00 New York and reaches the research record at 10:03. Replace 6,000 × 20 with 4,000 × 20 = USD 80,000 for decisions from 10:03 onward. H then fails the threshold, assuming no other purchases.
  • Preserve the October 16 decision as a decision made from the original USD 120,000 disclosure, with a later-correction flag. Using USD 80,000 to change the earlier candidate set would insert future information.
  • A correction to an existing trade does not reset that trade's original disclosure window in this rule. A genuinely newly disclosed trade needs its own first-disclosure timestamp. Keep the amendment availability time alongside both.
  • Deduplication needs accession and line identity plus economic context: issuer, buyer or controlled vehicle, date, security, shares and price. Identical quantities on the same day can still be separate executions; do not delete them solely because their numbers match.

Place the evidence on the TradingView chart

For A, the purchase date is October 14, the filing becomes public after the October 16 regular session, and the research workflow receives it at 17:25. A marker on the October 14 candle describes the transaction, not an actionable public observation. Even the October 16 regular close precedes the filing. Retain both dates with different labels.

  • Match the exact exchange-qualified ticker, share class and currency. Set the chart time zone explicitly and record whether extended-hours bars are visible. TradingView distinguishes the exchange time zone from the chart display time zone.
  • This example assumes a regular-session-only review and a normal next session on Monday October 19 at 09:30 New York. That is the first scheduled regular opening after receipt; it is not a guaranteed execution price. Check holidays, halts, spreads and the actual session calendar.
  • If you require a post-disclosure daily confirmation, wait for that next session's completed daily bar before evaluating it. The October 16 completed bar can describe pre-disclosure context, but cannot confirm a reaction to the filing.
  • For intraday review, a five-minute bar that opens at 17:20 includes time before A was received at 17:25. Do not assume access to its opening price. Define the first eligible bar or later executable quote before inspecting returns.
  • Keep original transaction shares and filing prices on their reported basis. If the chart adjusts historical prices for a split, reconcile the adjustment rather than multiplying original shares by an adjusted chart price.

Use Pineify for supported research steps

AI Finance Agent includes insiderTradesSearch, which retrieves provider records by symbol, company CIK, reporting CIK or transaction type. Market Screener supplies supported technical snapshots and saved symbol collections. The current Market Screener field catalog does not implement this Form 4 purchase, plan, amendment or disclosure-window screen. Keep the filing worksheet alongside the collection.

  • The insider search is paginated and currently caps each returned tool result at 50 rows. Ask for further pages and report the queried scope. One response cannot establish market-wide coverage, absence of buying or a complete 30-day history.
  • Research prompt: For these tickers, retrieve public purchase records and link each original Form 4. Show transaction code, acquired/disposed flag, share class, shares, USD price, direct or indirect ownership, plan indication and adoption date, acceptance/public availability and retrieval times, and any amendments or shared-owner duplicates. Mark unavailable fields. Apply my supplied cutoff only to evidence received by then.
  • A large purchase can coexist with weak business results, dilution, illiquidity or a subsequent price decline. Review the issuer's filings and purchase context before interpreting it. Neither an insider's motive nor a future return can be inferred from the dollar total alone.
