What Is Executive Compensation?
Executive compensation refers to the total pay package awarded to a company's top officers — including the CEO, CFO, COO, and other named executive officers (NEOs). It typically includes base salary, annual bonuses, stock awards, option awards, incentive plan payouts, and other benefits. Publicly traded U.S. companies are required by the SEC to disclose executive compensation in their annual proxy statements (DEF 14A filings), making this data publicly available for investors, analysts, and researchers.

Executive Compensation Components Explained
Base Salary
The fixed annual cash compensation paid to the executive. This is the guaranteed portion of pay, typically the smallest component for top executives.
Stock Awards
Grants of company stock, typically as restricted stock units (RSUs) that vest over time. Often the largest component of executive pay, aligning executive interests with shareholders.
Incentive Plan Compensation
Performance-based cash payouts tied to meeting specific financial targets such as revenue growth, EPS, or return on equity. Rewards executives for achieving company goals.
Bonus
Discretionary cash payments awarded by the board of directors. While less common in modern compensation packages, bonuses may be given for exceptional performance or special achievements.
Option Awards
Stock options granting the right to buy company shares at a predetermined price. These are valuable when the stock price rises above the exercise price, incentivizing long-term value creation.
All Other Compensation
Includes perquisites, retirement plan contributions, insurance premiums, personal security costs, and other benefits not captured in the main compensation categories.
